Partner Program Rules

1. OVERVIEW

The HealthCare Synergy, Inc. (“HCS”) Partner Program enables qualified technology companies, service providers, and solution integrators (“Partners”) to develop, integrate, and distribute products and services that work with the HCS Synergy EMR (“SEMR”) platform. These Partner Program Rules (“Program Rules”) govern participation in the HCS Partner Program and are incorporated by reference into the HCS Alliance Agreement between HCS and each Partner.

2. PARTNER ELIGIBILITY AND ENROLLMENT

To participate in the HCS Partner Program, a Partner must: (a) execute an HCS Alliance Agreement with at least one applicable Addendum (Development Addendum or Distribution Addendum); (b) maintain a valid business entity in good standing; (c) designate a primary contact and technical contact for communications with HCS; and (d) comply with all applicable laws and regulations, including without limitation HIPAA and applicable state healthcare data privacy laws. HCS reserves the right to accept or decline any application to the Partner Program at its sole discretion.

3. PARTNER TIERS

The HCS Partner Program includes two partner tiers:

Development Partners: Partners authorized to build internal-use products that interface with the SEMR platform through the HCS API. Development Partners operate under the Development Addendum to the Alliance Agreement.

Distribution Partners: Partners authorized to build, market, and distribute products and services that interface with the SEMR platform to third-party end users. Distribution Partners operate under the Distribution Addendum to the Alliance Agreement and may be subject to additional commercial terms.

4. USE OF HCS APIs

All access to HCS APIs is subject to the terms of the applicable Addendum and these Program Rules. Partners shall: (a) access the SEMR platform only through documented, supported APIs; (b) implement and maintain reasonable security measures for all API credentials, tokens, and keys; (c) not share API credentials with any unauthorized third party; (d) comply with all rate limits and usage policies communicated by HCS; and (e) promptly report any suspected security vulnerability or unauthorized access to HCS at security@healthcaresynergy.com

5. DATA HANDLING AND PRIVACY

Partners that access, process, or transmit Protected Health Information (“PHI”) through the HCS API must: (a) execute a Business Associate Agreement (“BAA”) with HCS prior to any PHI access; (b) comply with HIPAA, HITECH, and all applicable federal, state, and local data protection regulations; (c) implement administrative, physical, and technical safeguards appropriate to the sensitivity of the data; (d) promptly notify HCS (within 72 hours) of any actual or suspected data breach involving PHI or other healthcare data accessed through the SEMR platform; and (e) not use PHI for any purpose other than performing services under the Alliance Agreement.

6. BRANDING AND MARKETING

Partners may not use the HCS name, logo, trademarks, or other brand assets without prior written approval from HCS. Any approved use must comply with HCS brand guidelines provided to the Partner. Partners shall not make any false, misleading, or exaggerated claims about HCS, the SEMR platform, or the capabilities of any HCS product or service. All marketing materials referencing HCS or the SEMR platform must be submitted to HCS for review and approval prior to publication.

7. SUPPORT AND COMMUNICATION

HCS will provide Partners with: (a) access to API documentation and technical resources; (b) reasonable technical support during normal business hours (Monday through Friday, 8:00 AM to 5:00 PM Pacific Time, excluding federal holidays); and (c) at least 90 days advance written notice of any material changes to the API or Partner Program. Partners are responsible for providing first-line support to their own customers and end users. Partners shall escalate technical issues to HCS only after reasonable internal troubleshooting efforts.

8. COMPLIANCE AND AUDITING

HCS reserves the right to audit Partner compliance with these Program Rules, the Alliance Agreement, and any applicable Addendum upon reasonable written notice. Partners shall cooperate with any such audit and provide reasonable access to relevant records and systems. Non-compliance with these Program Rules may result in suspension or termination of Partner Program membership.

9. CHANGES TO PROGRAM RULES

HCS may modify these Program Rules at any time. HCS will provide Partners with at least 60 days written notice of any significant changes. Continued participation in the Partner Program following such notice constitutes acceptance of the revised Program Rules. If a Partner does not agree with the changes, the Partner may terminate its participation in the Partner Program by providing written notice to HCS prior to the effective date of the changes.
